Terms of Service

Welcome to Evertwine. These Terms of Service ("Terms") constitute a binding legal agreement between you ("User," "Member," "you," or "your") and Evertwine, LLC, a Nevada limited liability company ("Evertwine," "we," "us," or "our").

These Terms govern your access to and use of the Evertwine mobile application, curated venue intelligence, and related digital services (collectively, the "Services"). By onboarding, registering an account, or using our Services, you accept these Terms in full. If you do not agree to these Terms, do not download, access, or use the application.

1. The Evertwine Service

Evertwine is an aesthetic-driven discovery platform providing curated intelligence, structural details, and real-time insights on premium luxury venues, nightlife, and restaurants in San Diego, Orange County, Los Angeles, and other select operating markets. We provide digital materials, including but not limited to "Ambience Briefs," "Live Windows," and "Protocol Briefs," strictly for informational and discovery purposes. Evertwine does not own, operate, manage, or control any of the third-party venues listed in our directory.

2. Premium Memberships, Billing, and Lifetime Access

Evertwine offers premium features, elevated tier rewards, and elite platform access through recurring auto-renewing subscriptions as well as a one-time lifetime membership option.

Auto-Renewing Subscriptions: If you select a recurring subscription (e.g., monthly or annual plans), payment will be charged to your Apple ID account at confirmation of purchase. The subscription automatically renews unless auto-renew is turned off at least 24 hours prior to the end of the current billing cycle. Your account will be charged for renewal at the selected plan rate within 24 hours prior to the end of the current period.

Lifetime Membership (One-Time Purchase): If you select the Evertwine Lifetime Membership, this represents a single, upfront purchase. Payment will be charged to your Apple ID account at confirmation of purchase. This is a non-consumable tier that does not auto-renew and requires no future billing. For the purposes of these Terms, "Lifetime" refers specifically to the ongoing operational lifespan of the Evertwine application and platform service, and does not guarantee service in perpetuity if the platform is discontinued, dissolved, or acquired.

Subscription Management: You can manage, modify, or cancel your recurring subscription, or turn off auto-renewal at any time by navigating to your Apple Account Settings on your device after purchase.

Transactions & Refunds: All financial transactions, billing inquiries, payment processing, and refund requests are handled exclusively through and processed by the Apple App Store billing system. Evertwine does not collect, store, or process your credit card or financial instrument information directly for App Store purchases.

Payment Processing & Disputes: All payments, subscriptions, and one-time purchases made through the Evertwine application are processed and managed exclusively by Apple Inc. via the App Store. You acknowledge and agree that Evertwine, LLC has no direct access to, control over, or liability for Apple's billing systems, transaction processing, or payment processing errors.

Refund Policy: Because all payments are handled by Apple, Evertwine cannot issue refunds directly. Any requests for refunds, billing adjustments, or transaction disputes must be submitted to and resolved by Apple through their official support channels (e.g., reportaproblem.apple.com).

Pricing Changes: Evertwine reserves the right to modify subscription pricing or membership fees at any time. Any price changes will be communicated to you in advance through the App Store billing system and will apply to your next billing cycle.

3. Assumption of Risk & "The Reality Clause"

Evertwine is a platform for discovery. While we curate with the highest standards, we cannot and do not guarantee your physical experience, entry, or treatment at any venue.

Venue Interactions: We aim for every interaction to be premier, but we cannot guarantee the behavior, conduct, or safety of venue staff, management, other patrons, or members of the public.

The Experience: We cannot guarantee the specific quality of service, food, beverages, availability, or atmosphere at any venue on any given night.

Personal Safety: Evertwine is not liable for any events occurring while traveling to, attending, patronizing, or leaving a venue. This includes, but is not limited to, vehicular accidents, criminal acts, property damage, loss, or any negative physical occurrences.

Health & Wellness: Evertwine is not liable for physical illness, allergic reactions, food poisoning, or bodily injury resulting from a visit to a curated venue.

By using Evertwine, you explicitly acknowledge that you visit these third-party establishments entirely at your own discretion and risk.

4. Member Access & Verification

Age Requirement (18+): The Services are intended solely for users who are at least eighteen (18) years of age or older. By accessing or using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. Evertwine does not knowingly collect data from or market to minors. If we discover or have reason to suspect that a member is under the age of 18, we reserve the right to immediately terminate their account and delete all associated data without notice.

Access Discretion: Access to Evertwine is a privilege, not a right. Evertwine reserves the right to modify, restrict, suspend, or terminate platform access or features at our sole discretion without notice or liability.

Verification: You agree to provide accurate, truthful, and current information during your registration, onboarding, and account creation.

Account Security: You are responsible for maintaining the security of your mobile device and your login credentials. Sharing your account or access credentials with unauthorized users is strictly prohibited and may result in the immediate and permanent termination of your membership.

5. Third-Party Venues

Our Services contain reference data, editorial opinions, and operational hours of independent, third-party businesses.

Independent Entities: These venues operate completely independent of Evertwine, LLC. Any disputes regarding reservations, seating, billing discrepancies, food quality, or physical safety must be handled directly with the management of the venue itself.

Live Intel: While we strive for real-time accuracy, structural details, door operations, "The Window" (hours of operation), and "Protocols" (dress codes, reservation guidelines, or entry requirements) are determined solely by the venues and are subject to change without notice.

6. User-Generated Content & Code of Conduct

By using the Services, including any in-app support chat, feedback submission, or content sharing features, you agree not to post, transmit, or share any content that is unlawful, abusive, harassing, defamatory, obscene, or otherwise objectionable.

We enforce a zero-tolerance policy for abusive behavior towards our concierge team, support team, or other members. Violations will result in immediate and permanent account suspension without refund.

7. Location-Based Services

The Services rely on location services provided by your device's operating system (CoreLocation) for curated feeds and check-ins. Evertwine does not guarantee the accuracy, completeness, or reliability of any location data or location-based features.

You acknowledge that GPS accuracy varies based on signals and device settings, and Evertwine, LLC is not liable for any failure of the platform to register location-based events or check-ins.

8. Rewards, Points, and Digital Assets

Any points (including Influence or Medal points), rankings, badges, or rewards displayed in the Services are promotional digital markers only. They hold no cash or monetary value, are non-transferable, and cannot be redeemed for real-world currency or goods.

Evertwine, LLC reserves the right to modify, adjust, reset, or terminate the rewards and points system at any time without notice or liability to you.

You agree to defend, indemnify, and hold harmless Evertwine, LLC and its affiliates from and against any claims, liabilities, losses, damages, legal fees, and costs resulting from your violation of these Terms, your misuse of the application, or your conduct at any third-party venue discovered through the Services.

11. Governing Law & Jurisdiction

These Terms and any disputes arising out of or related to the Services shall be governed by, interpreted, and construed in accordance with the laws of the State of Nevada, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Nevada.
